BUSINESS
The Board of Directors, as the company’s highest decision-making corporate body, in addition to determining the Group’s strategic approaches, defines the basic pillars of business development and its leading brands. In this sense, one thing that stands out is its decision to strengthen the Premium brands and future innovations as drivers for growth committed to the highest quality and authenticity of its products.

Furthermore, Osborne’s Board of Directors has designed and implemented a comprehensive Corporate Governance, Risk Management and Regulatory Compliance Programme (GRC Programme) that establishes the basic behavioural principles and the set of processes and structures for managing and supervising the organisation’s activities in order to achieve its objectives, based on the following pillars:

RISK MANAGEMENT CONTROL

Risk management at Osborne is a function of the Board of Directors that cannot be delegated, as stated in its Articles of Association, promoted by the Board of Directors and Senior Management and the responsibility of all the members of the Group, the main objective of which is to provide reasonable assurance that the objectives established by the Group will be achieved.

COMPLIANCE

The Compliance and Ethics Committee, which since 2015 has been a body dependent on the Audit and Compliance Committee, is responsible for managing, coordinating, supervising and ensuring the regulatory compliance policy, adherence to ethical values at Osborne and that exercises criminal prevention duties through the Criminal Prevention Model.

INTERNAL AUDIT

Internal Audit, reporting to the Audit and Compliance Committee, evaluates the efficiency and effectiveness of the risk management, internal control and corporate governance processes, reasonably ensuring the efficiency and effectiveness of the use of resources, the reliability and consistency of accounting and management information and compliance with the law, in order to contribute to safeguarding the assets and interests of customers and shareholders.

 

FINANCIAL AND NON-FINANCIAL INFORMATION

Osborne is a pioneering company in the incorporation of good corporate governance practices, some obligatory by law and others as guidelines for the smooth running of the company. In 2019, the company incorporates the Non-Financial Information Statement for the first time in the Annual Report, in compliance with the parameters established by Law and following the international sustainability standards of the Global Reporting Initiative (GRI). This has made it possible to disclose the actions that it has been contributing and developing in line with the Sustainable Development Goals adopted by the United Nations General Assembly, which are described in the section of this website on Sustainability and Responsibility.
